Welcome to PlantLoom, a service operated by SmartCloud Connect (Hong Kong) Limited and its affiliates ("we," "us," or "our"). This legally binding Agreement governs your use of our websites and applications ("Our Services"). Please review these terms carefully.
Eligibility
You may use Our Services only if:
• You agree to this Agreement
• You are legally permitted to receive services in your jurisdiction
• You are at least 16 years old
• If aged 16-18 (or local age of majority), you have parental/guardian consent
1. Service Usage
License: We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access Our Services until:
• You delete your account, or
• We terminate access under this Agreement
Restrictions: You agree not to:
• Use Our Services illegally or violate any laws
• Transfer/sublicense rights under this Agreement
• Breach third-party rights or other agreements
• Infringe intellectual property, privacy, or legal rights
Consequences: Violations may result in service suspension/termination at our discretion. You remain liable for damages.
Service Changes: We may modify, suspend, or discontinue Our Services without notice or liability.
2. Your Content
You retain ownership of uploaded content ("Your Content"). You warrant having legal rights to share it. We may remove content or restrict access for Agreement violations.
3. Intellectual Property
We own all rights to Our Content (trademarks, copyrights, patents). You may not:
• Reproduce, distribute, or create derivatives of Our Content
• Lease/sell/transfer Our Content
• Reverse-engineer our software without written authorization
No intellectual property rights transfer between parties under this Agreement.
4. Fees
We offer both free and paid Services. If you choose to subscribe to a paid Service, you agree to pay the fees ("Fees") as quoted to you when you purchase that Service. We may calculate taxes payable by you based on the billing information that you provide us at the time of purchase. You are responsible for all charges related to using the purchased Service (for example, data charges and currency exchange settlements). You will pay the Fees in the currency We quoted at the time of purchase. We reserve the right to change the eligible currencies at any time, except where not permitted by applicable law. We reserve the right to change its prices at any time. However, if we have offered a specific duration and Fee for your use of the Service, we agree that the Fee will remain in force for that duration.
5. Limitation of Liability
To the fullest extent permitted by law, we exclude liability for:
• Indirect, special, consequential, or punitive damages
• Lost profits from service use
• Breaches or negligence (even with prior notice)
6. Disclaimer
Our Services are provided "AS IS" without warranties of fitness, accuracy, or non-infringement. You assume all risks (including device/data damage or content loss).
7. Privacy
Data collection follows our Privacy Policy. Please review it.
8. Suspension & Termination
By You: Delete your account to stop using Our Services.
By Us: We may suspend/terminate access for:
(a) Maintenance/updates
(b) Service modifications
(c) Agreement violations
(d) Reputational risk
(e) Legal requirements
Upon termination:
• Your rights cease immediately
• You remain liable for incurred fees
9. Force Majeure
Neither party is liable for failures caused by unforeseen events (natural disasters, government acts, terrorism). Affected parties must provide prompt notice and mitigate impacts.
10. Agreement Updates
We may revise this Agreement for service/legal changes. Material updates will be notified in advance. Continued use after changes constitutes acceptance.
11. Governing Law & Disputes
• General: Your jurisdiction's laws govern this Agreement
• US: California law applies; disputes resolved in California courts
• EU: Disputes settled locally or via ODR platforms
• Australia: Consumer rights protected under Competition and Consumer Act
12. Notices
We may notify you via service announcements or your registered contact information. Ensure your details remain current.
13. Miscellaneous
• This Agreement constitutes the entire understanding
• Invalid provisions won't affect remaining terms
